Friends of Cove Burgh Hall
In March 2001, an original six Subscribers entered into a memorandum of association creating the company Cove Burgh Hall. The memorandum sets out the powers of the company to own and run Cove Burgh Hall for the benefit of the community.
In a separate document, the articles of association of Cove Burgh Hall set out how members of the company are established, how meetings are arranged, how members vote and how directors are appointed and operate.
In order to give force to the articles, the directors believe that the number of members needs to be increased. Accordingly, the directors have agreed that a person who becomes a Friend (for these purposes to include a Gold Friend) shall be accepted as a member of the company.
A Friend is a person that has completed the Friends application form and has paid the relevant annual fee (as determined by the directors from time to time). A Friend shall cease to be such at the end of the fee period unless such person renews as a Friend by paying the next annual fee.
The members oversee the running of Cove Burgh Hall by the directors. In particular:
· A member has the right to convene an extraordinary general meeting of the company and to submit resolutions to such meeting (subject to the support of at least 10% of members), and the directors are required to invite all members to attend general meetings (including the AGM);
· Each member has a vote on resolutions put to a general meeting, with decisions at meetings made by majority vote;
· Only members may be directors and any member has the right to be nominated and considered as a director. The appointment of directors requires the approval of members.
Becoming a Friend is easy:
Just complete the application form and gift aid declaration (attached below) and return to Lesley Carruthers, the Friends Coordinator.
It only costs £10 per person per annum - although you can choose to give more.
Become a “Gold Friend"
For just £100 a year (payable by cheque or by standing order) your “Friendship” entitles you to free entry to all “Live At Cove Burgh Hall Events”. (Excluding the Hogmanay Ball) This represents extremely good value if you are a "regular" at our events with the added bonus that all you need to do is contact Lesley Carruthers or Richard Reeve for your tickets to be waiting for you at the door!
